(“Spyre” or the “Company”) (Nasdaq: SYRE), a clinical-stage biotechnology company advancing best-in-class antibody engineering, dose optimization, and rational therapeutic combinations for the treatment of Inflammatory Bowel Disease (“IBD”) and other immune-mediated diseases, today announced the pricing of its previously announced underwritten public offering of 14,864,865 shares of its common stock at a price to the public of $18.50 per share. The gross proceeds to the Company from this offering are expected to be approximately $275.0 million, before deducting underwriting discounts and commissions and other offering expenses. In addition, the Company has granted the underwriters of the offering an option for a period of 30 days to purchase up to an additional 2,229,729 shares of the Company’s common stock at the public offering price, less the underwriting discount.
The offering is expected to close on or about October 15, 2025, subject to satisfaction of customary closing conditions.
